VORTECH COMMUNICATIONS INC.
BUSINESS TERMS OF SERVICE
Effective Date: September 21, 2026
These Business Terms of Service (“Terms”) govern the products and services provided by VorTech Communications Inc. (“VorTech”) to the business, organization, or other entity purchasing or using such products or services (“Customer”).
1. AGREEMENT AND SCOPE
These Terms apply to telecommunications, hosted telephone, voice, messaging/SMS, fax, telephone numbers, applications, equipment, professional services, support services, and other products or services provided, sold, supported, or managed by VorTech (collectively, the “Services”).
These Terms, together with Customer’s applicable Service Order, E911 and Emergency Calling Policy, Privacy Policy, Messaging and Acceptable Use Policy, and any other service-specific agreement, authorization, or addendum applicable to Customer, collectively constitute the agreement between VorTech and Customer (the “Agreement”).
An individual accepting these Terms, ordering or activating Services, executing an agreement, or submitting a request on behalf of Customer represents that the individual is of legal age and has authority to enter into the Agreement and act on Customer’s behalf.
Customer is responsible for requests and changes made by its authorized representatives and by third parties Customer has authorized to access or administer its Services.
BY ORDERING, ACTIVATING, ACCEPTING, OR USING THE SERVICES, CUSTOMER ACKNOWLEDGES THAT IT HAS READ, UNDERSTANDS, AND AGREES TO BE BOUND BY THESE TERMS AND THE OTHER APPLICABLE DOCUMENTS THAT CONSTITUTE THE AGREEMENT.
2. SERVICE TERM, CHANGES, AND PRICING
2.1 Month-to-Month Service
Unless otherwise expressly agreed in writing by VorTech, Services are provided on a month-to-month basis and automatically continue each month until modified or terminated in accordance with these Terms.
2.2 Pricing
Customer will be charged the rates applicable to Services provided to its account. VorTech may establish different pricing for new Services, newly added Services, equipment, features, usage, and other products offered from time to time.
Existing Customer pricing may include legacy, bundled, promotional, or grandfathered rates that are not assigned to individual Services at current retail prices. VorTech does not automatically increase an existing Customer’s recurring rates solely because VorTech’s current pricing for new orders has changed.
2.3 Customer-Requested Reductions or Modifications
When Customer requests removal, reduction, or material modification of existing Services, VorTech may reprice Customer’s remaining Services using VorTech’s then-current pricing.
Continued legacy, bundled, promotional, or grandfathered pricing is not guaranteed following a Customer-requested reduction or modification.
Resulting recurring charges will be reflected on Customer’s invoice and/or billing portal.
2.4 Additions
Services, telephone numbers, users, extensions, devices, call paths, licenses, features, messaging services, fax services, applications, integrations, usage-based services, or other billable resources requested or activated by Customer or its authorized representatives may result in additional recurring or one-time charges at VorTech’s then-current applicable pricing.
Unless otherwise agreed in writing, charges for an added Service or resource may begin when that Service or resource is activated or made available for Customer’s use.
2.5 Authorized Requests
Customer is responsible for additions, removals, modifications, and other requests submitted by its authorized representatives or third parties Customer has authorized to act on its behalf.
VorTech may require requests to be submitted using a VorTech-approved form, portal, email, written authorization, or other method reasonably required by VorTech.
3. BILLING, PAYMENT, AND TAXES
3.1 Invoicing
VorTech will invoice Customer for recurring Services, usage charges, equipment, professional services, support charges, taxes, regulatory charges, and other applicable amounts.
Customer is responsible for reviewing invoices and maintaining accurate billing and contact information.
3.2 Payment Methods
VorTech may accept payment by credit or debit card, ACH/eCheck, check, or another payment method expressly approved by VorTech.
VorTech may require an approved recurring electronic payment method for particular Services or accounts.
3.3 Payment Authorization
If Customer provides recurring payment authorization, Customer authorizes VorTech to charge or debit the approved payment method for amounts properly due under the Agreement until that authorization is revoked or replaced in accordance with VorTech’s applicable payment procedures.
Revoking a payment authorization does not cancel Services or eliminate Customer’s obligation to pay amounts due.
3.4 Billing Disputes
Customer must notify VorTech of a disputed invoice or charge within thirty (30) days after the invoice date and identify the disputed charge and reason for the dispute.
Failure to timely dispute a charge does not waive rights that cannot legally be waived, but VorTech may rely upon its records and available information when investigating older charges.
3.5 Taxes and Regulatory Charges
Customer is responsible for applicable taxes, government assessments, regulatory recovery charges, surcharges, and similar charges associated with Services unless Customer provides valid documentation establishing an exemption.
3.6 Nonpayment
VorTech may suspend or discontinue Services for amounts remaining unpaid after applicable notice and opportunity to cure, subject to applicable law.
Suspension or disconnection for nonpayment does not eliminate Customer’s responsibility for amounts already incurred or otherwise properly due.
4. BILLABLE RESOURCES AND ACCOUNT RECONCILIATION
Customer is responsible for billable Services and resources activated or maintained at Customer’s request or at the request of an authorized representative.
Billable resources may include users, extensions, devices, telephone numbers, call paths, fax services, licenses, applications, messaging/SMS services, features, integrations, international calling, toll-free services and usage, usage-based services, and other activated resources.
If VorTech discovers that a Customer-authorized billable resource was activated or changed but was not properly reflected in billing, VorTech may reconcile the account and bill applicable charges back to the reasonably determinable activation or change date.
When substantial investigation is reasonably required to determine the history of unreported changes, reconcile account records, or reconstruct billing resulting from Customer or third-party activity, VorTech may charge Customer for actual professional time reasonably required to perform that work at VorTech’s then-current applicable service rate.
Account reconciliation under this Section is intended to recover properly incurred service charges and reasonable reconciliation costs and is not a penalty.
5. CANCELLATION OF SERVICES
5.1 Thirty-Day Written Notice
Customer must provide at least thirty (30) days’ written notice to cancel an entire Customer account or discontinue all Services.
Customer remains responsible for applicable charges through the effective cancellation date.
5.2 Written Cancellation Required
Cancellation of an entire Customer account must be submitted to VorTech in writing by an authorized representative of Customer.
The cancellation request must reasonably identify:
(a) Customer;
(b) the authorized representative making the request;
(c) Services to be cancelled;
(d) the requested cancellation date; and
(e) whether telephone numbers will be ported or transferred to another provider.
VorTech may require completion and signature of its Account Cancellation Request form.
Telephone conversations, voicemail messages, text messages, number-porting activity, or communications from unauthorized persons do not, by themselves, constitute notice of cancellation.
5.3 Porting Does Not Constitute Cancellation
Porting or transferring one or more telephone numbers to another provider does not automatically cancel Customer’s VorTech account or remaining Services.
Customer remains responsible for notifying VorTech in writing when Services are to be discontinued.
Charges may continue until Customer properly cancels the applicable Services in accordance with these Terms.
5.4 Outstanding Amounts
Cancellation does not relieve Customer of responsibility for outstanding invoices, usage charges, equipment charges, professional services, taxes, regulatory charges, or other amounts incurred before the effective cancellation date.
6. TELEPHONE NUMBERS AND NUMBER PORTING
Telephone numbers provided in connection with Services are subject to applicable carrier, regulatory, and industry requirements.
VorTech will reasonably cooperate with valid requests to transfer eligible telephone numbers.
Customer is responsible for providing accurate information and any Letter of Authorization, account information, documentation, or other authorization reasonably required to process a number transfer.
Porting dates and completion times may depend upon third-party carriers and are not guaranteed by VorTech.
Customer should not terminate existing telephone service associated with a number being transferred until the transfer has been confirmed as complete.
Transfer of a telephone number away from VorTech does not constitute cancellation of Customer’s account or other Services.
7. EQUIPMENT
Equipment may be purchased from VorTech, provided by Customer, leased, financed, or otherwise provided under terms identified in the applicable Service Order or other agreement.
Customer is responsible for protecting equipment located at Customer’s premises from loss, theft, misuse, physical damage, electrical damage, environmental damage, and unauthorized access.
Customer-owned or third-party equipment is Customer’s responsibility unless VorTech expressly agrees otherwise in writing.
VorTech does not guarantee compatibility, performance, or continued functionality of customer-owned or third-party equipment.
Equipment warranty claims are subject to the applicable manufacturer’s warranty and any separate warranty expressly provided by VorTech.
VorTech-owned or leased equipment required to be returned following termination must be returned in accordance with VorTech’s instructions. Customer may be responsible for replacement cost, shipping, or other applicable charges for equipment that is lost, damaged beyond normal wear, or not timely returned.
8. CUSTOMER NETWORK, INTERNET, POWER, AND TECHNICAL REQUIREMENTS
Customer acknowledges that many Services depend upon Customer’s Internet connection, local network, electrical power, firewall, switches, routers, Wi-Fi, cabling, and other systems outside VorTech’s direct control.
Customer is responsible for maintaining adequate Internet connectivity, electrical power, network infrastructure, and compatible equipment unless expressly included in a managed service provided by VorTech.
Customer’s network and security systems must satisfy VorTech’s then-current technical requirements and requirements of applicable upstream providers.
Technical requirements, including network addresses, ports, protocols, firewall settings, quality-of-service requirements, and other specifications, may change as platforms, carriers, security practices, and technologies evolve.
VorTech may provide current technical requirements separately and may update them without amending these Terms.
VorTech is not responsible for service impairment caused by Customer’s Internet provider, local network, firewall, Wi-Fi, power, cabling, equipment, configuration, or third-party systems outside VorTech’s control.
VorTech may assist Customer in investigating such conditions, but such work may constitute billable professional services.
9. SUPPORT AND PROFESSIONAL SERVICES
VorTech provides reasonable support for VorTech-provided Services in accordance with Customer’s applicable service plan.
Routine support does not necessarily include custom programming, major reconfiguration, network troubleshooting, third-party systems, integrations, project work, migrations, remediation of changes made by others, on-site service, or emergency/after-hours work.
Such work may be treated as billable professional services at VorTech’s then-current applicable rates.
Billable professional services may include custom call-flow programming or substantial reconfiguration; network, firewall, Internet, Wi-Fi, cabling, or customer-equipment troubleshooting; third-party integrations; investigation or remediation of changes made by Customer or another provider; migrations and special projects; on-site service; and emergency or after-hours service.
VorTech may provide estimates when reasonably practical, but troubleshooting time and project requirements may not always be determinable in advance.
10. ON-SITE SERVICE
All on-site service is billable at VorTech’s then-current applicable on-site service rate and is subject to a two-hour minimum charge unless VorTech expressly agrees otherwise in writing.
The on-site minimum applies regardless of who requested the visit or whether the ultimate cause is determined to be a VorTech Service, Customer network, Internet provider, customer equipment, third-party system, or another cause.
Additional travel or extraordinary expenses may be charged when disclosed or otherwise agreed upon.
11. EMERGENCY AND AFTER-HOURS SERVICE
Emergency Service must be requested by telephone using VorTech’s designated support telephone number.
Email, text messages, portal submissions, or other electronic communications are not guaranteed to be monitored or responded to as emergency requests and do not constitute a request for Emergency Service unless VorTech expressly acknowledges them as such.
Emergency Service is charged at two (2) times VorTech’s then-current standard hourly service rate and is subject to a two-hour minimum charge.
For example, if VorTech’s standard hourly service rate is $125 per hour, Emergency Service is $250 per hour with a minimum charge of $500.
Whenever reasonably practical, VorTech will inform Customer that a request is being handled as billable Emergency Service before beginning work.
Emergency Service includes service for which Customer requests immediate or priority response outside VorTech’s normal support expectations, including qualifying after-hours, weekend, or holiday response.
VorTech does not guarantee personnel availability for every Emergency Service request.
12. THIRD-PARTY PROVIDERS AND ADMINISTRATIVE ACCESS
Customer may authorize an IT provider, consultant, contractor, employee, or other third party to access or administer Customer’s Services.
VorTech may require Customer and/or the third-party provider to execute VorTech’s Third-Party Administrative Access Agreement before administrative credentials or elevated access are provided.
Actions taken through administrative credentials issued to Customer or a Customer-authorized third party may be treated as actions authorized by Customer.
Customer and its authorized third parties are responsible for changes they make.
If Customer or a third party causes or contributes to a service problem, VorTech may charge for investigation, remediation, restoration, or related professional services at VorTech’s then-current applicable rates and minimum charges.
VorTech is not responsible for acts, omissions, errors, security incidents, or configuration changes caused by Customer or Customer’s third-party providers except to the extent directly caused by VorTech.
13. SECURITY, CREDENTIALS, FRAUD, AND UNAUTHORIZED USE
Customer is responsible for protecting usernames, passwords, PINs, administrative credentials, devices, applications, voicemail accounts, and other means of accessing Services.
Customer must promptly notify VorTech if Customer knows or reasonably suspects that credentials or Services have been compromised.
Customer is responsible for maintaining reasonable security practices for its users, devices, networks, and systems.
Customer may not use Services for fraud, impersonation, unlawful caller-ID spoofing, unauthorized access, harassment, illegal activity, or other prohibited conduct.
VorTech may suspend, restrict, or block Services when reasonably necessary to protect Customer, VorTech, carriers, other customers, or the public from suspected fraud, abuse, security threats, unlawful activity, or significant network harm.
14. E911 AND EMERGENCY CALLING
Customer acknowledges that VoIP and hosted telephone emergency calling differs from traditional landline service and may depend upon Internet connectivity, electrical power, network and device configuration, telephone-number configuration, and accurate registered emergency-location information.
Customer must provide VorTech with accurate physical location information and promptly notify VorTech when a registered user, telephone number, device, or Service is permanently moved.
Moving a telephone or device does not necessarily automatically update its registered emergency location.
Changes affecting E911 or emergency-location information must be submitted to or coordinated with VorTech.
Customer is responsible for ensuring its users understand applicable limitations of VoIP emergency calling and for maintaining reasonable alternative means of contacting emergency services.
Customer’s use of Services is subject to the VorTech Communications Inc. E911 and Emergency Calling Policy, which is incorporated into these Terms.
15. MESSAGING AND SMS SERVICES
Messaging and SMS Services may be used only in compliance with applicable laws, regulations, carrier requirements, industry requirements, registration requirements, and VorTech’s Messaging and Acceptable Use Policy.
Customer is responsible for its messaging campaigns and communications, including content, recipients, required disclosures, consent, opt-in procedures, opt-out procedures, recordkeeping, and compliance.
Customer must obtain any legally required consent before sending marketing, promotional, automated, or other regulated messages and must honor valid opt-out requests.
Customer may not use Services to send unlawful spam, fraudulent messages, prohibited content, or communications violating applicable carrier or regulatory requirements.
Messaging may be suspended, filtered, restricted, delayed, or blocked by carriers, aggregators, platform providers, or VorTech due to compliance requirements, suspected abuse, registration issues, carrier policies, or other circumstances.
VorTech does not guarantee delivery of every message.
16. CALL RECORDING
Certain Services may permit Customer to record calls or communications.
Customer is solely responsible for determining whether recording is lawful and appropriate and for obtaining notices, consents, permissions, or authorizations required by applicable law.
VorTech does not provide legal advice regarding recording laws.
Customer is responsible for its employees’, agents’, users’, and authorized representatives’ use of recording features.
17. ACCEPTABLE USE AND REGULATORY COMPLIANCE
Customer shall use Services only for lawful purposes and in compliance with applicable laws, regulations, carrier rules, industry requirements, and VorTech policies.
Customer may not use Services to facilitate fraud or unlawful activity; interfere with networks or systems; attempt unauthorized access; violate intellectual-property or privacy rights; transmit unlawful, fraudulent, abusive, or prohibited communications; create unreasonable security, operational, regulatory, or reputational risk; or violate applicable carrier or platform requirements.
VorTech may investigate suspected violations and suspend or restrict affected Services when reasonably necessary.
18. SERVICE AVAILABILITY AND THIRD-PARTY PROVIDERS
VorTech uses telecommunications carriers, data centers, software providers, Internet providers, equipment manufacturers, messaging providers, and other third parties to provide portions of Services.
Customer acknowledges that telecommunications and Internet-based Services may experience outages, delays, maintenance, carrier failures, Internet failures, equipment failures, software issues, or circumstances outside VorTech’s reasonable control.
VorTech does not guarantee uninterrupted or error-free Service unless expressly provided in a separate written service-level agreement.
VorTech may modify, replace, upgrade, or discontinue underlying technology, carriers, features, or platforms when reasonably necessary to maintain, improve, secure, or continue Services.
19. INDEMNIFICATION
To the fullest extent permitted by law, Customer agrees to defend, indemnify, and hold harmless VorTech, its officers, directors, employees, agents, contractors, affiliates, and applicable upstream providers from third-party claims, damages, losses, penalties, fines, liabilities, and reasonable costs and expenses, including reasonable attorneys’ fees, arising from or relating to Customer’s unlawful or unauthorized use of Services; violation of law; messaging practices; recording of communications; Customer content; acts or omissions of Customer’s users or authorized third parties; or Customer’s material breach of the Agreement.
This obligation does not apply to the extent a claim results from VorTech’s gross negligence or willful misconduct or to the extent indemnification is prohibited by applicable law.
20. DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY PROVIDED IN WRITING BY VORTECH, SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE FULLEST EXTENT PERMITTED BY LAW, VORTECH DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THE AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
VORTECH DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR IMMUNE FROM THIRD-PARTY NETWORK, INTERNET, CARRIER, SOFTWARE, HARDWARE, SECURITY, OR OTHER FAILURES OUTSIDE VORTECH’S REASONABLE CONTROL.
21. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VORTECH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO SERVICES OR THE AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, VORTECH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO VORTECH FOR THE AFFECTED SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
22. SUSPENSION AND TERMINATION BY VORTECH
VorTech may suspend, restrict, or terminate affected Services because of nonpayment; material breach; fraud or suspected fraud; unlawful or prohibited use; security threats; abuse of telecommunications or messaging networks; carrier, regulatory, court, or governmental requirements; circumstances threatening the operation, security, integrity, or reputation of VorTech’s Services or providers; or discontinuation or unavailability of an essential underlying service.
When circumstances reasonably permit, VorTech will attempt to provide notice and an opportunity to resolve the issue before suspension or termination.
VorTech may act immediately when reasonably necessary to address fraud, security threats, unlawful conduct, emergency conditions, carrier requirements, or material risk to systems or other users.
23. DISPUTES, GOVERNING LAW, AND ARBITRATION
The Agreement shall be governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
Except for matters that may properly be brought in small claims court or matters for which injunctive or equitable relief is appropriate, disputes arising out of or relating to the Agreement shall be resolved by binding arbitration to the fullest extent permitted by applicable law.
Unless the parties agree otherwise or applicable law requires otherwise, arbitration shall take place in Ottawa County, Michigan.
To the fullest extent permitted by law, disputes shall be resolved individually and not as part of a class, collective, consolidated, or representative action.
Any action, arbitration, or proceeding arising out of or relating to the Agreement must be commenced within one (1) year after the claim arose, except where a different limitation period is required by applicable law.
24. PRIVACY AND CUSTOMER DATA
VorTech may collect, access, use, store, transmit, or disclose Customer information as reasonably necessary to provide, maintain, support, secure, bill, and administer Services; comply with law and lawful process; investigate fraud or security incidents; and protect VorTech, Customer, providers, and other users.
VorTech’s handling of personal information is further governed by its Privacy Policy.
Customer is responsible for determining whether its collection and use of information through Services complies with applicable privacy and data-protection requirements.
25. FORCE MAJEURE
VorTech shall not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil disturbance, labor disputes, government action, utility failures, Internet outages, carrier outages, fiber or cable cuts, power failures, cyberattacks, failures of third-party networks or providers, or similar events beyond VorTech’s reasonable control.
26. CHANGES TO SERVICES AND TERMS
VorTech may update these Terms to reflect changes in Services, technology, carriers, regulatory requirements, security requirements, business practices, or applicable law.
Material changes will become effective upon reasonable notice to Customer or on the effective date identified in the updated Terms, as permitted by applicable law.
Changes to current pricing for newly ordered Services do not automatically change an existing Customer’s grandfathered recurring pricing except as otherwise provided in Section 2.
Customer’s continued use of Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
27. NOTICES AND CUSTOMER INFORMATION
Customer is responsible for maintaining accurate administrative, billing, technical, emergency-location, and contact information with VorTech.
Routine notices may be provided by email, invoice, billing portal, customer portal, or another reasonable electronic method.
Notice of cancellation of an entire Customer account must comply with Section 5.
Customer must promptly notify VorTech of changes to authorized representatives, billing contacts, email addresses, telephone numbers, business addresses, E911 locations, and other information reasonably necessary to administer Services.
28. ASSIGNMENT
Customer may not assign the Agreement or transfer Services to another entity without VorTech’s prior written consent.
VorTech may assign the Agreement to an affiliate, successor, purchaser, or other entity in connection with a merger, acquisition, reorganization, sale of business or assets, or similar transaction.
29. SEVERABILITY AND WAIVER
If any provision of the Agreement is determined to be invalid or unenforceable, remaining provisions will remain in effect to the fullest extent permitted by law.
Failure by VorTech to enforce a provision on one occasion does not waive VorTech’s right to enforce that provision later.
30. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE
These Terms, together with Customer’s applicable Service Order, E911 and Emergency Calling Policy, Privacy Policy, Messaging and Acceptable Use Policy, Third-Party Administrative Access Agreement when applicable, and other written service-specific addenda or authorizations accepted by VorTech constitute the agreement governing the applicable Services.
If a specifically negotiated and signed Service Order or addendum expressly conflicts with these Terms, the specifically negotiated provision controls with respect to that conflict.
31. SURVIVAL
Provisions that by their nature should continue after termination survive termination, including payment obligations, confidentiality obligations where applicable, intellectual-property provisions, indemnification obligations, warranty disclaimers, limitations of liability, dispute-resolution provisions, and other provisions intended to survive.
32. CONTACTING VORTECH
Questions regarding Services, billing, account changes, or these Terms should be directed to VorTech Communications Inc. using the contact information below.
Emergency Service must be requested by telephone.
Cancellation of an entire Customer account must be submitted in writing in accordance with Section 5.

END OF BUSINESS TERMS OF SERVICE
VORTECH COMMUNICATIONS INC.
E911 AND EMERGENCY CALLING POLICY
Effective Date: September 21, 2026
This E911 and Emergency Calling Policy (“E911 Policy”) applies to voice and telephone services provided by VorTech Communications Inc. (“VorTech”) that permit access to 911 or other emergency calling services.
This E911 Policy is incorporated into and forms part of the VorTech Communications Inc. Business Terms of Service (“Terms”).
1. VOIP 911 SERVICE IS DIFFERENT FROM TRADITIONAL TELEPHONE SERVICE
Customer acknowledges that hosted telephone and Voice over Internet Protocol (“VoIP”) Services operate differently from traditional landline telephone service.
Access to 911 may depend upon functioning Internet service, electrical power, Customer network equipment, telephone equipment, service configuration, telephone-number configuration, and accurate registered emergency-location information.
Customer must ensure that its users understand these differences.
2. CUSTOMER MUST PROVIDE ACCURATE E911 INFORMATION
Customer must provide VorTech with accurate physical location information for telephone numbers, users, devices, and locations for which E911 registration is required.
The registered E911 location must identify the actual physical location from which emergency calls are expected to be placed and must include sufficient information for emergency responders to locate the caller, including applicable suite, unit, floor, building, or similar information.
A post office box or mailing address that does not accurately identify the physical service location is not sufficient.
Customer is responsible for the accuracy and completeness of information supplied to VorTech.
3. MOVING A PHONE OR DEVICE
Customer must promptly notify VorTech whenever a registered telephone number, device, user, or Service is permanently moved to another physical location.
Moving or reconnecting a telephone, application, or other device does not necessarily automatically update its registered emergency location.
Customer should not assume that the physical location detected by a device, Internet connection, network, GPS service, Wi-Fi network, or other technology has automatically updated the E911 information associated with the VorTech Service.
4. E911 CHANGES MUST BE COORDINATED WITH VORTECH
Changes affecting E911 registration or emergency-location information must be submitted to or coordinated with VorTech.
Customer should provide location changes to VorTech before moving a telephone number, device, user, or Service whenever reasonably possible.
Customer is responsible for providing VorTech with sufficient time and accurate information to process the requested change.
Customer should not rely upon updated E911 information until the applicable change has been processed.
5. CUSTOMER AND THIRD-PARTY ADMINISTRATIVE CHANGES
Customer may permit employees, IT providers, consultants, contractors, or other authorized third parties to administer portions of its telephone system.
Customer remains responsible for ensuring that administrative changes do not result in inaccurate E911 information.
A Customer or third party must not knowingly change a telephone number, device, user, service location, or other configuration in a manner that causes registered emergency-location information to become inaccurate.
Third-party administrators must coordinate E911-related changes with VorTech in accordance with VorTech’s Third-Party Administrative Access Agreement when applicable.
6. INTERNET, POWER, AND NETWORK FAILURES
VoIP emergency calling may not function during circumstances including:
- electrical power failures;
- Internet service outages;
- local network failures;
- firewall, router, switch, Wi-Fi, or cabling failures;
- equipment failures;
- telephone or application failures;
- upstream carrier or provider outages;
- service suspension or disconnection; or
- other conditions that prevent the VorTech Service from operating normally.
Customer is responsible for maintaining appropriate Internet connectivity, power, network infrastructure, and backup or alternative methods of contacting emergency services appropriate to Customer’s circumstances.
7. REMOTE AND MOBILE USE
Some VorTech Services may allow a user to operate a telephone, softphone, mobile application, or other device from a location different from the registered service location.
Customer acknowledges that emergency-location information may not automatically follow a user or device to a temporary or remote location.
Customer is responsible for ensuring that remote and mobile users understand this limitation and know how to provide their actual physical location to emergency personnel.
8. MULTIPLE LOCATIONS
Customers operating from multiple physical locations are responsible for identifying each applicable service location and providing VorTech with accurate information necessary to configure emergency calling appropriately.
Customer must notify VorTech when locations are opened, closed, moved, or otherwise changed in a manner affecting emergency calling.
9. EMERGENCY CALL INFORMATION
When placing an emergency call, users should be prepared to provide the emergency operator with their name, telephone number, physical location, and nature of the emergency.
If an emergency call is disconnected, the user should call again if reasonably possible.
10. TESTING AND NON-EMERGENCY CALLS
Customer and its users should not place unnecessary or improper calls to 911 for testing purposes.
Any testing of emergency calling should be performed only in accordance with procedures approved by VorTech and applicable emergency-service authorities.
11. ALTERNATIVE MEANS OF CONTACTING EMERGENCY SERVICES
Because VoIP emergency calling depends upon systems that may become unavailable, Customer should maintain an alternative means of contacting emergency services appropriate to its circumstances.
Such alternatives may include a mobile telephone or another independently powered communications method.
12. CUSTOMER RESPONSIBILITY
Customer is responsible for:
(a) providing accurate E911 information;
(b) promptly reporting changes in physical location;
(c) ensuring its authorized representatives and third-party administrators comply with this Policy;
(d) informing employees and other users about limitations of VoIP emergency calling;
(e) maintaining Customer-controlled Internet, network, power, and equipment necessary for operation of the Services; and
(f) maintaining reasonable alternative access to emergency services.
13. LIMITATIONS
VorTech will use commercially reasonable efforts to provision emergency-calling information supplied by Customer.
VorTech is not responsible for inaccurate, incomplete, outdated, or untimely information supplied by Customer or its representatives, or for Customer’s failure to notify VorTech of a location change.
Emergency calling may also depend upon carriers, emergency-service providers, Internet providers, networks, databases, and other systems outside VorTech’s direct control.
Liability relating to E911 and emergency calling is subject to the limitations of liability and other provisions contained in the VorTech Business Terms of Service to the fullest extent permitted by applicable law.
14. CUSTOMER ACKNOWLEDGMENT
By activating or using Services capable of emergency calling, Customer acknowledges that it has received, reviewed, and agrees to this E911 Policy and accepts responsibility for communicating applicable emergency-calling information to its users.
END OF E911 AND EMERGENCY CALLING POLICY
VORTECH COMMUNICATIONS INC.
MESSAGING AND ACCEPTABLE USE POLICY
Effective Date: September 21, 2026
This Messaging and Acceptable Use Policy (“Policy”) governs the use of SMS, MMS, business texting, telecommunications, hosted telephone, and related communications services provided by VorTech Communications Inc. (“VorTech”).
This Policy is incorporated into and forms part of the VorTech Communications Inc. Business Terms of Service (“Terms”).
By using applicable VorTech Services, Customer agrees to comply with this Policy and is responsible for ensuring that its employees, users, agents, contractors, and authorized third parties comply with it.
1. PURPOSE AND SCOPE
VorTech provides communications Services that may enable Customer to send and receive telephone calls, SMS messages, MMS messages, business text messages, automated communications, and other electronic communications.
Customer may use these Services only for lawful purposes and in accordance with applicable laws, regulations, carrier requirements, industry standards, registration requirements, and this Policy.
Customer is responsible for its use of the Services and for communications sent using Customer’s account, telephone numbers, applications, credentials, or messaging campaigns.
2. CUSTOMER RESPONSIBILITY FOR COMMUNICATIONS
Customer is responsible for determining whether its communications are permitted under applicable law and applicable carrier and industry requirements.
Customer is responsible for the content of its communications; determining who may lawfully receive its communications; obtaining and maintaining required consent; maintaining records of consent when required; providing required disclosures; honoring opt-out requests; maintaining accurate sender and business identification; properly registering messaging campaigns, telephone numbers, brands, or other information when required; ensuring its users comply with applicable requirements; and responding to complaints relating to Customer’s communications.
VorTech’s provision of messaging capabilities does not constitute a determination that a particular message, campaign, recipient list, or business practice is legally permissible.
3. CONSENT AND OPT-IN REQUIREMENTS
Customer must obtain any consent required by applicable law, regulation, carrier policy, or industry requirement before sending a message.
The type of consent required may depend upon the nature of the communication, recipient, manner in which the telephone number was obtained, whether the communication is informational or promotional, and technology used to send it.
Customer may not purchase, rent, scrape, harvest, or otherwise obtain telephone-number lists for messaging in a manner that violates applicable law or carrier requirements.
Customer is responsible for maintaining evidence of consent when required.
4. MARKETING AND PROMOTIONAL MESSAGES
Customer is responsible for ensuring that marketing, advertising, solicitation, promotional, or similar communications satisfy applicable consent and disclosure requirements.
Customer must not assume that a person’s status as an existing customer, former customer, website visitor, contact, or person whose telephone number is available to Customer automatically constitutes permission to send marketing messages.
5. TRANSACTIONAL AND CUSTOMER-SERVICE MESSAGES
Customer may use messaging Services for legitimate transactional and customer-service purposes, subject to applicable requirements.
Examples include appointment reminders, service notifications, order information, scheduling communications, customer-support conversations, account notifications, and communications directly related to an existing transaction or customer relationship.
A transactional or customer-service relationship does not necessarily authorize unrelated marketing or promotional messages.
6. OPT-OUT REQUESTS
Customer must honor valid requests from recipients who no longer wish to receive applicable messages.
Customer must maintain processes reasonably designed to recognize and honor standard opt-out requests, including commonly recognized terms such as STOP when applicable.
Customer may not intentionally circumvent, ignore, disable, or interfere with required opt-out mechanisms.
Once a recipient has opted out, Customer must not resume applicable messaging unless legally sufficient consent to resume has subsequently been obtained.
7. REQUIRED IDENTIFICATION AND DISCLOSURES
Customer must accurately identify itself when required and may not impersonate another person or organization.
Customer is responsible for required disclosures applicable to its communications, campaigns, industries, or use cases.
Customer must not intentionally conceal sender identity, falsify sender information, or use telephone numbers or messaging Services deceptively.
8. MESSAGE FREQUENCY
Customer should send messages at a frequency reasonably consistent with consent obtained and disclosures made when recipients opted in.
Customer may not engage in excessive, abusive, misleading, or unexpected messaging practices.
Carriers and messaging providers may impose additional limits.
9. MESSAGE AND DATA RATES
Standard message and data rates imposed by a recipient’s wireless carrier may apply.
VorTech does not control charges imposed directly by wireless carriers upon recipients.
10. PROHIBITED MESSAGING
Customer may not use VorTech Services to send or facilitate unlawful or prohibited communications, spam prohibited by applicable requirements, fraud, deceptive messages, phishing, malicious software, harassment, threats, unlawful content, communications designed to evade carrier controls, falsified sender identification, artificially generated traffic for improper purposes, or communications creating unreasonable legal, security, operational, regulatory, or reputational risk to VorTech or its providers.
11. HIGH-RISK AND RESTRICTED CONTENT
Certain industries, products, services, or types of message content may be restricted or prohibited by carriers, aggregators, platform providers, or applicable law.
Requirements may change over time.
Customer must comply with then-current requirements applicable to its messaging use case.
VorTech may refuse, restrict, suspend, or discontinue messaging involving prohibited or materially restricted use cases.
12. REGISTRATION AND 10DLC REQUIREMENTS
Certain business messaging may require registration with carriers, industry registries, messaging providers, or other organizations.
Customer must provide accurate and complete information requested for registration and may not provide false or misleading information regarding its identity, business, website, messaging purpose, traffic, opt-in process, or message content.
Approval of a registration or campaign does not guarantee delivery or establish that Customer’s messaging practices comply with every applicable law.
Registration requirements, fees, carrier rules, and approval standards may change over time.
13. CARRIER AND PLATFORM REQUIREMENTS
Messaging Services rely upon wireless carriers, telecommunications providers, aggregators, software providers, registries, and other third parties.
These providers may establish or modify requirements relating to registration, sender identification, consent, content, opt-in and opt-out procedures, volume, throughput, use cases, telephone numbers, campaigns, fees, and prohibited or restricted content.
Customer agrees to comply with applicable requirements.
14. MESSAGE DELIVERY IS NOT GUARANTEED
VorTech does not guarantee delivery, timing, routing, receipt, or successful transmission of any particular message.
Messages may be delayed, filtered, blocked, rejected, throttled, or otherwise affected by third-party systems or conditions outside VorTech’s control.
Customer should not use SMS or other messaging as the sole means of transmitting time-critical emergency information.
15. EMERGENCY COMMUNICATIONS
Messaging Services are not a replacement for 911 or emergency calling.
Customer must not rely upon SMS, MMS, or business messaging as its sole method of contacting emergency services.
Emergency calling is governed separately by VorTech’s E911 and Emergency Calling Policy.
16. TELEPHONE AND VOICE ACCEPTABLE USE
Customer may not use VorTech’s voice or telephone Services for unlawful, fraudulent, abusive, deceptive, or unauthorized purposes.
Prohibited activities include unauthorized caller-ID spoofing, telecommunications fraud, harassment, unauthorized access, intentionally generated fraudulent traffic, and use materially interfering with telecommunications networks or other users.
17. SECURITY AND ACCOUNT PROTECTION
Customer is responsible for maintaining reasonable security over its communications accounts and protecting usernames, passwords, API credentials, administrative accounts, telephone-system credentials, applications, devices, and other access methods.
Customer must promptly notify VorTech of known or suspected compromise.
VorTech may temporarily restrict or suspend Services when reasonably necessary to investigate or mitigate suspected fraud, unauthorized access, abuse, or security threats.
18. CUSTOMER LISTS AND DATA
Customer is responsible for telephone numbers, contact lists, customer information, and other data Customer imports, uploads, enters, or uses with Services.
Customer represents that it has the rights and permissions reasonably necessary to use such information for intended communications.
VorTech does not independently verify consent for every contact contained within Customer’s systems.
19. THIRD-PARTY APPLICATIONS AND INTEGRATIONS
Customer may use VorTech Services with third-party software, applications, CRM systems, automation platforms, websites, APIs, or integrations.
Customer remains responsible for communications generated through those systems.
Automated generation of a message does not relieve Customer of responsibility for compliance.
20. AUTOMATED MESSAGING
If Customer uses automated messaging, scheduled messages, autoresponders, workflows, APIs, artificial intelligence, or other automated systems, Customer is responsible for configuring those systems appropriately.
Customer remains responsible for recipients, content, timing, frequency, consent, and opt-out handling.
21. MONITORING AND COMPLIANCE
VorTech is not obligated to review every communication transmitted through Services.
VorTech may investigate suspected violations and cooperate with carriers, providers, regulators, law enforcement, courts, or other authorized entities when required or permitted by law.
22. SUSPENSION OR RESTRICTION OF MESSAGING
VorTech may block, filter, restrict, suspend, or discontinue affected messaging Services because of suspected spam or abusive traffic, excessive complaints, lack of required consent, failure to honor opt-outs, inaccurate registration information, carrier requirements, suspected fraud, unlawful activity, prohibited content, security threats, regulatory requirements, or material violations of this Policy or the Terms.
VorTech may act immediately when necessary to prevent ongoing harm or comply with carrier or regulatory requirements.
23. FEES, FINES, PENALTIES, AND REMEDIATION COSTS
Carriers, aggregators, registries, governmental authorities, and other providers may impose registration charges, messaging surcharges, compliance fees, investigation costs, penalties, or other charges associated with Customer’s messaging activity.
To the extent permitted by law and the Agreement, Customer is responsible for third-party charges, fines, penalties, or costs resulting from Customer’s violation of applicable requirements or this Policy.
If Customer’s conduct requires substantial investigation, remediation, registration correction, carrier coordination, or professional work by VorTech, VorTech may charge for actual professional time reasonably required at its then-current applicable service rate.
Such charges are intended to recover actual costs and professional services and are not a contractual penalty imposed by VorTech.
24. CUSTOMER INDEMNIFICATION
Customer’s use of messaging and communications Services is subject to the indemnification provisions of the Business Terms of Service.
25. VORTECH COMMUNICATIONS WITH CUSTOMER
VorTech may separately communicate with Customer and its authorized representatives regarding Customer’s account, Services, support requests, appointments, billing, service changes, outages, security matters, and other matters relating to the business relationship.
Transactional or service-related communications from VorTech are distinct from Customer’s own messaging campaigns.
Where consent is legally required for a particular communication from VorTech, VorTech will obtain or rely upon applicable consent as required by law.
